E、Packing list by the Seller in three (3) originals indicating the contract number,

L/C number, weight and value of goods shipped and name of carrying vessel and B/L number and date.

卖方三份签名之装箱单正本,注明合约号码,信用证号码,已装运货品重量和价值,船名海运提单的号码和日期。

F、Beneficiary’s certified copy of fax to Buyer within three (3) days after shipment advising name of the carrying vessel, ETS/ETA date, name of commodity, weight and specifications of the goods loaded, approximate cargo value, L/C number, B/L number and date, and by courier service the above documents to Buyer including the Non-Negotiable copy of Bill Of Lading within three working days after Bill of Lading date.

受益人在船运后3天内所发出给买方的传真的确认件 ― 该传真件是向买方通报船名、预计开航时间/预计到港时间、所装载货物名称、货物重量与规格、货物的大概价值、信用证号码、及海运提单号码与日期等等。此外,在海运提单日期后的3天内,通过专递服务,把上述单据连同海运提单副本发送给买方。

(i) Charter party bills of lading acceptable(3 copy of Charter contract ) 租船提单可接受(提供租船合同副本3份)。

(ii) Third party documents acceptable except Invoice and Draft. 第三方之文件可接受但不包括发票及汇票 (iii) Trans-shipment not allowed.

CLAUSE 9 WEIGHING 称重 9.1 Weighing at The Loading Port

The Seller shall appoint CCIC-Indonesia to determine the weight of shipment of the goods by draft survey. The dry quantity shall be determined by deducting the free moisture at 105 degree centigrade as determined by the CCIC Indonesia. The weight of the goods as ascertained and certified together with CCIC -Indonesia analysis certificate's shall be basis for Seller's Invoice to effect the Provisional Payment as set forth in 7.4

在装货港, 卖方指定在印尼CCIC测量这批装船铁矿砂的重量, 由CCIC依干燥的重量在摄氏105度, 以湿重扣除水分自由流失检测, 此报告将是卖方开立商务发票的基础以议付条款7.4所述暂付款。 9.2 Weighing at The discharging Port

the Buyer shall apply to CIQ to determine the weight of the shipment of iron ore fines by draft survey.

在卸货港由买方聘请CIQ做重量测定。

9.3 the weight of CIQ in excess of first order weight should be settled by Buyer

within ten working days after L/C balance day .

CIQ重量超出试单合同标的部分货款由买方在信用证结算后十个工作日内

CLAUSE 10 SAMPLING & ANALYSIS 采样与分析 10.1 SAMPLING & ANALYSIS at The Loading Port 装货港采样与分析

If no determination of analysis is exercised at the port of discharge, CCIC--Indonesia analysis certificate's at loading Port's shall be conclusive as to specification of Ore.

如果在卸货港没有进行再次的分析化验, 在印尼装货港的CCIC铁矿砂证明书将做为确定的依据.

10.2 Sampling & Analysis at The Discharging Port 卸货港采样与分析

At the discharging port, the Buyer at Buyer’s expenses shall apply to CIQ China to determine the quality of the shipment of iron ore fines. The CIQ Certificate should be faxed to the seller within 30-60 days from the date of completion of discharge.

在卸货港,买方可要求买方付费的情况下由中国的CIQ做铁矿粉的最终品质检验。CIQ的检验报告需于卸货完成后30-60天传真给卖方。

10.3 The following term only apply to Total Iron Content

If the difference between Buyer’s and Seller’s analysis made under above paragraph of this Clause is not more than 0.5%, then the CCIC-Indonesia s results shall be regarded as final. However, if the difference is more than 0.5%, but less than 1%, then the excessive part should be equally born by both seller and buyer. If the difference is more than 1% or if there exists a significant difference between the two said analysis in respect of any one or more chemical contents other than Fe, Seller shall consult with Buyer to reconcile such difference. If after consultation between Seller and Buyer the difference cannot be reconciled then at the request of Seller or Buyer, the CIQ at the discharge port’s sample for umpire shall be analysis by an umpire agreed between Buyer and Seller and the certificate of analysis issued by such umpire shall be final for Fe or relevant chemical content. 以下条款仅适用于全铁含量

若买卖双方测量的数据的差别不超过0.5%,则以在印尼CCIC的检测结果作为最终数据。若差别大于0.5%小于1%,则超出的部分将由买卖双方平均分摊。若差别大于1%或者双方检测结果存在明显差别,买卖双方需通过协商友好解决所存差异。若经协商仍不能达成,则通过任何一方要求,请卸货港CIQ取出用于仲裁的样品进行分析,通过买卖双方同意,该仲裁机构铁含量检测结果将作为最终数据。

10.4 Additional Terms其他条款

A) The weight, Sampling, Chemical Analysis, Moisture Determination and

Screen Analysis performed at the loading port by CCIC--Indonesia shall be for Seller's account, such activities performed at the discharging port by CIQ

shall be for the Buyer’s account. The cost of umpire analysis shall be for the account of the party whose own analysis differs further from the umpire analysis, and if the results of such umpire analysis is the mean of the analysis of Buyer and the analysis of Seller then such cost shall be equally borne by both parties.

在印尼CCIC在装货港进行的重量, 取样, 化学分析, 水分和颗粒分析的费用将是由卖方支付,CIQ在卸货港进行的这些检测的费用由买方支付。当仲裁发生时, 费用由双方之检验报告与仲裁结果差异较大之一方支付, 若仲裁分析的结果是双方分析的平均值, 此费用将由双方均摊.

B) Buyer, if necessary, would depute the representative or nominate an independent surveyor at their cost to witness operation at loading Port. Similar facility would be extended to seller at the discharging port.

如有必要,买方可派代表或指定一个独立的检测机构于装货港进行质量检测及监装,同样的方式适用于卖方于中国的卸货港。费用由指定者自行负担.

CLAUSE 11: SHIPPING/DISCHARGING TERMS 装/卸货条款

11.1 Loading Terms 装货条款

The seller shall advise the Buyer in 15 days before the planned delivery of each consignment, so that the Buyer may take delivery. The Seller shall immediately notify the Buyer of any change to the delivery date that has been previously notified.

卖方应于每批出货的15天前通知买方,如上述出货日期有任何变动卖方应立 即通知买方。

11.2 Discharging Terms 卸货条款

A) Cargo shall be discharged on Customary Quick Despatch Terms.The time of discharge would be counted right after 24hours when the charter submitting Notice of Readiness , or actual time of starting discharge,subjecting to the earlier one.

按港口习惯迅速卸货。即卸货时间在船舶递交准备就绪通知书24小时后开始计起算或实际开始卸货时间算起,以两者中较早时间为准。

B) Buyer guarantees to provide one safe berth at the Discharging Port upon vessel arrival to accommodate a vessel with Beam and LOA as per permissible limits. 买方保证当货船抵达时,在卸货港口提供一个安全的泊位,以便船只从正面全长度入港。

C) Any and all taxes, dues on the cargo as levied by the port authorities are for Buyer's account. Any delays incurred due to failure to pay these will be to the Buyer's account.

在卸货港口发生的所有应缴税款均由买方承担。因为未付清以上税款发生的延误由买方负责。

D) However if there is any delay solely due to Buyer’/receiver’/their Agent’s default in processing documents for discharging cargo at discharge port, Seller shall be compensated for detention equivalent to demurrage rate/vessel cost.

如果由于买方或者其代理在卸货港口进行文书处理导致了延误,卖方应得到与滞留费和船费等额的补偿。

CLAUSE 12 ADVISE OF SHIPMENT 装船通知

Seller shall, upon completion of loading at final loading port, advise buyer within 3(three) working days by cable/telex/fax of the contract number, name of vessel, name of commodity, approx invoice value, gross weight, loading and sailing date, bill of lading number and date and ETA at discharge port.

卖方将在装货完成后三个工作日内用cable/telex/fax 通知买方,含合同号码, 船名, 商品名称, 商业发票金额, 总重量, 船的装货和启航日期, 提单号码和到达目的港的日期.

CLAUSE 13 TRANSFER OF TITLE AND RISK 责任交接及风险

13.1 The goods progressively passing the vessel’s rail at unloading port, After CIQ being

issued, Buyer shall pay 100% of commercial invoice if Buyer have no argument for this material. At this moment, the title risk and property of ore being bought shall pass from the Seller to the Buyer. The final settlement would subject to CIQ of unloading port.

卸货港货物越过船舷,在CIQ出具报告後,若买方对货物无异议,應支付该批货物货款的100%,此时风险和货权由卖方转移至买方。最终结算以卸貨港CIQ为准。

CLAUSE 14 LOSS OF CARGO货物损失

in the event of any loss of cargo after the same has been loaded abroad vessel, whether a total or partial loss, Buyer shall pay Seller an amount equal to the value of such part or whole of the cargo lost, based on loaded weight and analysis, and such part of whole of the cargo lost shall be deemed to have been delivered to buyer hereunder for all purposes of this agreement..

发生部分货物或者全船货物损失时,若提单上注明的货物相关数量及分析由买方提供,则被认可为最终结果并作为货物计价及付款的依据。若在装货港提供货物相关数量及分析,则被认可为最终结果并作为货物计价及付款的依据。 CLAUSE 15 FORCE MAJEURE 不可抗拒之灾害

Neither party shall be held responsible for failure or delay to perform all or any part of this contract due to flood, fire, earthquake, snowstorm, drought, explosion, strike, war or any other Force Majeure cases as per international practice. However, the party whose performance is affected by the event of Force Majeure shall give a notice to the other party of its occurrence as soon as possible and a certificate or a document of the occurrence of the Force Majeure event issued by the relative authority or a neutral independent third party shall be sent to the other party not later than 30 days after its occurrence. If the event of Force Majeure continues for
